All 4 matters involve the predecessor entity Sushi Avenue, Incorporated (pre-dating SAH Holdings, LLC's franchise program launched Sept 2023). Three civil actions (2015-2016) were resolved via confidential settlement/dismissal. A 2024 Washington Securities Division consent order found 14 unregistered/undisclosed franchise-type agreements (2016-2024) in violation of the WFIPA; predecessor paid $2,000 in investigative costs and agreed to cease and desist.

A franchisor must disclose pending actions and any material civil action involving the franchise relationship, plus convictions or civil judgments for fraud, unfair or deceptive practices, or franchise-law violations, going back ten years. A case the franchisor brought against a franchisee counts too. Item 3 does not include every dispute: settled claims below the materiality line and matters resolved in private arbitration can be absent.
